Terms of Service

The terms and conditions governing your use of the Lambda platform.

These Terms of Service (“Terms”) constitute a legally binding agreement between your business entity (“Customer,” “you,” or “your”) and Vanaheim SRL (“Lambda,” “we,” “us,” or “our”), a company registered in Romania with its corporate website at vanaheim.io, governing your access to and use of the Lambda platform, including our product website at onlambda.com and all related services.

By accessing or using Lambda, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Nature of the Service

Lambda is a business-to-business (B2B) software-as-a-service (SaaS) platform that provides AI-powered WhatsApp and web assistant capabilities designed for service-based businesses. Our services include automated appointment scheduling, customer communication, intake forms, reminders, and analytics.

Lambda is intended for use by businesses and their authorized staff. It is not intended for direct consumer use.

Lambda acts solely as a data processor for customer data, processing it only in accordance with your instructions and our Data Processing Agreement (DPA), available on request.

4. Subscription and Pricing

Lambda is offered under monthly subscription plans:

Current pricing is always reflected on our pricing page. All prices are quoted in euros and are exclusive of VAT or other taxes, which will be added where required by law (including Romanian VAT and EU OSS / reverse-charge rules where applicable).

Free trial. New subscriptions begin with a 14-day free trial. A valid payment method is required to start the trial; you will not be charged during the trial period. If you do not cancel before the trial ends, your selected plan will automatically begin billing at the end of the trial.

5. Billing, Payment Processor, and Recurring Charges

Payment processor. Payments for Lambda are processed by Stripe, Inc. and its EU affiliate, Stripe Payments Europe, Ltd. By providing your payment details, you authorize us (and Stripe) to charge your selected payment method according to the plan you selected. Stripe’s terms and privacy policy apply to its processing of your payment data: see stripe.com/legal and stripe.com/privacy. Vanaheim SRL does not store full card numbers or CVC codes; only a token returned by Stripe is retained.

Recurring billing. Subscriptions are billed monthly in advance and automatically renew at the start of each billing period at the price applicable to your current plan, unless and until cancelled by you in accordance with Section 6.

Failed payments. If a payment fails or is reversed, Stripe will retry the charge in line with its standard dunning schedule. If a payment remains unpaid for 15 days, we reserve the right to suspend or terminate your access to the platform until the balance is settled.

Plan changes. You may upgrade or downgrade your plan at any time. Upgrades are prorated and applied immediately; downgrades take effect at the start of the next billing period.

6. Cancellation and Refunds

No long-term contracts. You may cancel your subscription at any time from the Settings → Data & Privacy tab of your dashboard, or by emailing [email protected].

Refund policy. Fees already paid are non-refundable, except where required by applicable law (including, for EU consumers where consumer-protection rules apply, the 14-day right of withdrawal under Directive 2011/83/EU). Because Lambda is a business-to-business product, statutory consumer-withdrawal rights generally do not apply; however, we will consider good-faith refund requests for billing errors or service unavailability on a case-by-case basis. 6a. Chargebacks

If you dispute a Stripe charge as a chargeback rather than contacting us first, we reserve the right to (i) suspend your account pending resolution, (ii) provide Stripe with our records of your usage and agreement to these Terms, and (iii) charge a reasonable administrative fee to recover dispute-handling costs where the chargeback is found in our favor.

You agree to use Lambda only for lawful purposes and in accordance with these Terms. You shall not:

8. Intellectual Property

All rights, title, and interest in and to the Lambda platform, including its software, algorithms, AI models, design, trademarks, and documentation, are and remain the exclusive property of Vanaheim SRL.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the platform for your internal business purposes during the subscription term.

You retain ownership of all data you upload to the platform, including business information and customer data. We do not claim any intellectual property rights over your data.

9. Service Availability

We strive to maintain high availability of the Lambda platform. However, we do not guarantee uninterrupted, error-free operation. Planned maintenance will be communicated in advance when possible. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.

12. Modifications to the Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before they take effect.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Romania, without regard to conflict-of-law principles.

Any disputes arising out of or related to these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Romania. Before initiating legal proceedings, both parties agree to attempt to resolve disputes amicably through good-faith negotiation within 30 days of written notice.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
